    – Verifying that the factory is officially registered.

Establishing a company in China

Establishing a company in China can be a complex and time-consuming process, involving navigating complex legal and regulatory frameworks. Company headquarters:
  • Corporate Office Lease: You must rent an office if you are a resident in China. Virtual Location: If you do not wish to reside, you can choose a virtual location with a formal lease.
  • Company Name (English and Chinese): Prepare three alternative company names to ensure acceptance.
    Note: Names that include names of countries, oceans, or famous people should be avoided.
    Passport Photo: A clear copy of your passport is required.
  • There is no specific amount for the capital, but if you need residency, it is preferable to be more than 15,000 US dollars.
    If you do not need residency, a capital of 2,000 dollars can be sufficient.
    Note: The capital does not need to be deposited in the bank immediately, but it can be deposited within five years after establishment.
  • The business sector must be clearly defined (eg: clothing – children’s clothing, women’s clothing, etc.). More than one sector may be selected, except for sectors that require additional licenses such as food.

  • We need the same information for each partner (eg passport photo).

     

  • Distribution of ownership and liability: Determine the percentage of ownership for each partner.

  • Responsible for decision-making: Identify the person who will have the authority to make major decisions.

  • Passport photo.
  • Highest educational certificate (the higher the certificate, the better the chance of obtaining residency).
  • Years of experience: from the time of graduation until now.
  • Criminal record: must be translated and certified by the Ministry of Foreign Affairs in your country, and certified by the Chinese Embassy.

Factory establishment

There are a set of basic requirements and procedures that must be followed to ensure compliance with local laws. To establish a factory in China, these requirements may vary slightly depending on the type of factory, location, and size of investment, but the general requirements can be summarized as follows:

Legal structure of the company:
  • Choosing the type of company: You can establish the factory as a limited liability company (WFOE), a joint venture, or a representative office. The most common type is a limited liability company (WFOE), where the company is fully owned by foreigners.
  • Capital: There is no minimum capital requirement, but industries that require large investments or high technology may require larger capital. Usually, it is preferable that the capital be sufficient to cover operating costs, equipment and establishment.
  • Determine the location: You must choose a suitable industrial area to establish the factory. The conditions and benefits vary by city or province. Some industrial areas offer tax incentives or exemptions. Lease contract: You need to sign a lease contract for the factory or the land on which you will build the factory. The contract must be long enough to cover the needs of the project.
  • Environmental Permit: Every factory needs to conduct an environmental impact study and obtain approval from local environmental authorities.
  • Industrial Permit: You may need an industrial or operating permit depending on the type of products to be manufactured.
  • Construction Permit: If you intend to build the factory from scratch, you will need a construction and design permit.

    Business Plan: Submit a business plan that explains the type of industrial activity, production details, target markets, and financial projections.
